Bangladesh’s Registrar of Joint Stock Companies and Firms (RJSC) is replacing its company registration system. Under a circular dated 5 November 2026, all name clearance and registration applications must be made through the new eBRS (electronic Business Registration System) from 10:00 am on 12 November 2026. If you plan to form a company in Bangladesh, or have an application in progress, here is what changes.

What happens to pending applications
- Name clearances issued by 5:00 pm on 9 November with no registration application yet move to eBRS automatically. Validity and conditions stay the same; the remaining steps happen in the new system.
- Registration applications filed from 1 July to 9 November 2026, disposed or pending, move to eBRS. If data is missing, they come back to your account with comments.
- Drafts move only if the fee was paid. Unpaid drafts are not migrated; you must apply again in eBRS using your name clearance.
Identity verification: where most applications will stall
- For Bangladeshi citizens, NID, e-TIN and mobile number are checked in real time during the application.
- The mobile number must be registered to that person’s own NID. If it fails, the person cannot be added as a shareholder, director, member or partner.
- Name, e-TIN and mobile details must match the NID exactly.
- Under section 264 of the Income Tax Act 2023, every resident shareholder, director and member must upload proof of return submission (PSR).
- Foreign nationals must give a valid passport number and a clear scanned copy of the passport.
E-consent: no OTP, no progress
Each shareholder, director, member and partner receives a consent link at their registered email and confirms with an OTP sent to their phone or email. The application will not move forward until everyone has consented, so brief overseas directors in advance.
How fast is it?
- Name clearance: during the launch phase, the system checks automatically and RJSC officers review within 24 hours. Fully automatic, instant clearance follows later. Rejected names can be appealed for review.
- Model MoA and AoA: with complete data, fees, identity checks and OTP consent, approval is instant and automatic.
- Customised MoA and AoA: an RJSC officer reviews them under the law before approving or rejecting.
- Queries: inconsistencies send the application back with comments; fix and resubmit within the deadline. False information can lead to legal action.
Once approved, the digitally signed registration certificate and related forms are emailed to everyone involved.
Checklist before you apply
- Match every director’s and shareholder’s NID, e-TIN and own-name mobile number.
- Scan the latest PSR for each resident.
- Get clear passport scans for foreign directors.
- Collect working email addresses: OTPs and the certificate go there.
- Decide between the model and a customised MoA/AoA.
- Read the eBRS user manual first.
An example of where time gets lost
(An illustrative example.) Imagine a foreign investor setting up a Bangladeshi subsidiary with two local partners. The name clearance is done and a draft is ready, but the fee was never paid, so the draft will not migrate. One local partner’s SIM is registered to a relative’s NID, so he cannot be added as a director, and the investor’s OTP keeps arriving late abroad.
The investor can work through each issue alone, or hand it to someone who deals with RJSC every day. After talking to a few firms, he chooses VATax Advisory & Co., because they start with a checklist that verifies every NID, mobile and PSR up front, coordinate foreign passports and OTP consent, and then handle the TIN, BIN, trade licence and annual RJSC returns from one desk.
If you can do it yourself, the checklist above is enough. If time matters more, experienced help is the sensible choice.
Getting help from RJSC
For technical problems or OTP delays, RJSC asks applicants to join the ‘RJSC eBRS Support Group’ on WhatsApp. The link and QR code are in the circular and on roc.gov.bd.
